These Attorney Terms of Service (“Terms”) govern participation in the LawFinch network by attorneys and law firms (“Attorney,” “you,” or “your”). LawFinch is a service of HelpMatch, LLC, operating under the LawFinch brand (“LawFinch,” “we,” “us”). By enrolling in LawFinch, accepting these Terms during enrollment, or receiving Client Leads through the platform, you agree to be bound by these Terms, our Terms of Use, and our Privacy Policy. If you enroll on behalf of a law firm, you represent that you have authority to bind that firm.
LawFinch is a lead generation and client matching service for legal professionals. We advertise legal services to consumers, collect inquiries, and match them to participating attorneys by practice area, geography, and availability. We do not guarantee any volume of Leads, that any Lead will retain you, or any revenue or outcome. Results depend on many factors, including your responsiveness, availability, pricing, and intake practices.
Independent professionals. Attorneys in the LawFinch network are independent. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and LawFinch. LawFinch is not a law firm, does not practice law, and provides no legal services or legal advice.
Licensure and good standing. You represent and warrant that you are licensed and in good standing in every jurisdiction included in your Service Area, and that you will promptly remove any jurisdiction where that ceases to be true.
Advertising-rule compliance. You are solely responsible for ensuring that your participation in LawFinch, your profile content, and your communications with Leads comply with the rules of professional conduct of every jurisdiction where you practice, including rules on advertising, solicitation, and communications with prospective clients. If your bar requires filings, disclaimers, or records for participation in advertising services, those obligations are yours.
Nature of fees. Amounts you pay LawFinch are flat advertising and marketing charges for Delivered Leads. They are not contingent on whether a Lead retains you or on any fee you earn, and nothing in these Terms constitutes sharing of legal fees with a nonlawyer or payment for a recommendation or endorsement. LawFinch does not evaluate the merits of any matter and does not recommend or endorse any particular attorney; matching is performed by practice area, geography, and availability.
Client relationships. Any attorney-client relationship is formed solely between you and the Lead, on terms you agree with them. Conflict checks, engagement letters, competence, diligence, and deadlines (including statutes of limitation) are your responsibility from the moment you choose to communicate with a Lead.
Payment authorization. You must keep a valid payment method on file. By enrolling, you authorize LawFinch and its payment processors to charge that payment method for all amounts owed under these Terms, at the then-current applicable rates, without separate authorization for each charge.
Per-Lead charges. Each Lead Delivered to your account is charged at the rate applicable to its practice area, or at a rate specific to your account, as presented to you at enrollment and in your account, plus any applicable taxes. Charges are earned by LawFinch upon Delivery and are due whether or not you contact, respond to, or retain a given Lead.
Billing schedule. LawFinch bills on a recurring cycle, by default an initial charge approximately seven (7) days after activation and approximately every fourteen (14) days thereafter, or at another frequency LawFinch sets for your account. LawFinch may adjust charge timing, batch charges, retry failed charges, and issue invoices or receipts electronically.
Account funds. Where LawFinch offers prepaid account funds or lead credits, they are non-transferable, have no cash value, and are applied against per-Lead charges. Unused funds are non-refundable except as required by law or expressly approved by LawFinch. Promotional or courtesy credits may carry expiration dates or usage conditions, may be modified or revoked while unused, and cannot be exchanged for money.
Late or failed payments. If a charge fails or an amount remains unpaid when due, LawFinch may retry the charge; suspend, pause, or stop Delivering Leads and restrict platform access; assess late fees and interest as permitted by applicable law; and refer past-due balances to collections and report delinquency to credit reporting agencies. You agree to reimburse LawFinch’s reasonable collection costs, including collection-agency fees and reasonable attorneys’ fees, to the extent permitted by law.
Rate changes. LawFinch may change per-Lead rates, the billing cycle, or other billing terms on a going-forward basis by notice through the platform or by email. Continued receipt of Leads after a change takes effect constitutes acceptance. Leads already Delivered are billed at the rate in effect at Delivery.
A Lead is an “Invalid Lead” if it has missing, incorrect, or fraudulent contact information that prevents you from establishing contact; requests services outside the practice areas you have selected; or is located outside the counties in your Service Area. You may request a billing adjustment or credit within seven (7) days of Delivery by submitting the request through your account with an explanation. LawFinch reviews requests and decides them at its discretion; approved adjustments are credited against amounts you owe. This process is your sole and exclusive remedy for disputed Leads, and submission of a request does not guarantee an adjustment. Except as required by law or expressly provided in these Terms, amounts owed for Delivered Leads are non-refundable.
The invalid-Lead process in Section 6 is the exclusive channel for disputing a charge. Initiating a chargeback or payment dispute for validly Delivered Leads or validly charged amounts without first exhausting that process is a material breach of these Terms. In that event LawFinch may, without limiting its other rights: suspend or terminate your account immediately, including pausing Lead Delivery; revoke pending refund or credit offers; recover the disputed amounts, dispute and processing fees, and reasonable response costs to the extent permitted by law; and submit evidence to the payment processor, including your recorded acceptance of these Terms, Lead Delivery records, and account activity.
Contacting Leads. Leads have asked to be contacted about their inquiry, and your outreach must stay within that request. You are responsible for complying with all laws applicable to your communications, including the Telephone Consumer Protection Act, and with your bar’s rules on communications with prospective clients. You must honor opt-out requests immediately. LawFinch may suspend messaging privileges for non-compliant activity, and does not guarantee message delivery.
Lead data use. Lead information is provided to you solely to respond to that Lead’s inquiry and, if retained, to provide your services. You may not sell Lead information, add Leads to marketing lists unrelated to their inquiry, or disclose Lead information except as needed for the representation or as required by law. Once you communicate with a Lead, you are independently responsible for your own legal obligations regarding their information, including confidentiality obligations that attach to prospective clients.
Indemnity for communications. You agree to indemnify, defend, and hold LawFinch harmless from claims, liabilities, damages, or penalties arising from your communications with Leads, including non-compliant messaging, consumer complaints, regulatory fines, and carrier violations.
You may receive confidential LawFinch information (including business practices, pricing, software, and data) and agree not to disclose it without our written consent. LawFinch and its licensors retain all rights in the platform and its content; you receive a non-exclusive, non-transferable, revocable license to use the platform in accordance with these Terms. You may not use the LawFinch name or marks without written permission, except accurate statements that you participate in the LawFinch network.
You may end your participation at any time by closing your account. LawFinch may suspend or terminate your access at any time, with or without cause or notice. Upon termination, Lead Delivery stops and your license to use the platform ends. Payment obligations for Leads Delivered before termination, and any other provisions that by their nature should survive (including confidentiality, disclaimers, limitations of liability, indemnities, and dispute resolution), survive termination.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. LAWFINCH DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION AND IS NOT RESPONSIBLE FOR CONTENT OR INFORMATION PROVIDED BY THIRD PARTIES, INCLUDING LEADS.
TO THE FULLEST EXTENT PERMITTED BY LAW, HELPMATCH, LLC (INCLUDING ITS LAWFINCH SERVICE), ITS AFFILIATES, AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, AND THEIR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID LAWFINCH IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY OR (B) ONE HUNDRED DOLLARS ($100).
You release LawFinch and the parties above from all claims arising out of or relating to your use of the service, known or unknown. If you are a California resident, you waive California Civil Code Section 1542. You agree to indemnify, defend, and hold harmless LawFinch and the parties above from claims arising from your use of the service, your violation of these Terms or applicable law or professional rules, your professional services or any representation arising from a Lead, or your violation of any third-party rights.
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Any dispute arising out of or relating to these Terms or the service shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Martin County, Florida, or another mutually agreed location. You and LawFinch each waive jury trials and agree claims may be brought only in an individual capacity, not as a class or representative proceeding. Either party may bring qualifying claims in small claims court, or seek injunctive relief in court for intellectual property or unauthorized access matters. You may opt out of this arbitration agreement by written notice postmarked within fourteen (14) days of first accepting these Terms, sent to HelpMatch, LLC (LawFinch), Attn: Legal, 2740 SW Martin Downs Blvd, Unit 292, Palm City, FL 34990, including your name, contact details, and a clear opt-out statement.
LawFinch may modify these Terms on a going-forward basis; material changes will be notified through the platform or by email, and continued participation after the effective date constitutes acceptance. If any provision is unenforceable, the remainder stays in effect; no failure to enforce is a waiver. You may not assign these Terms without our consent; we may assign them without restriction. Neither party is liable for delays caused by events beyond its reasonable control. These Terms, together with the Terms of Use and Privacy Policy, are the entire agreement regarding the service.
